We are offering of our depositary shares each representing a 1/40th ownership interest in a share of our fixed rate non-cumulative perpetual preferred stock, Series I (the "Preferred Stock"), with a liquidation preference of $25 per depositary share (equivalent to $1,000 per share of Preferred Stock).
