We are offering depositary shares, each representing a 1/40th ownership interest in a share of our % Non-Cumulative Perpetual Preferred Stock, Series A, par value $0.01 per share (the "Series A Preferred Stock"), with a liquidation preference of $25 per depositary share (equivalent to $1,000 per share of Series A Preferred Stock).
Use of proceeds: Net proceeds will be used for general corporate purposes, which may include contributing or lending all or a portion of the proceeds to its subsidiary Comenity Capital Bank, and share repurchases.
